Four companies listed on the Nigerian Exchange face a November 2026 deadline to complete outstanding restructuring and compliance obligations, according to the Nigerian Exchange Regulation Limited (NGX RegCo). Union Dicon Salt Plc, Critical Minerals Financing Corp Plc, Multi-Trex Integrated Foods Plc and Fortis Global Insurance Plc are on the NGX Delisting Watchlist as the exchange tightens monitoring of firms with regulatory deficiencies. The watchlist is designed to allow affected issuers to address outstanding regulatory issues, though companies that fail to meet applicable listing requirements could face further sanctions including possible delisting proceedings.
Union Dicon has made progress on some fronts, with NGX RegCo confirming that the company has rectified its outstanding compliance deficiencies and now meets the free-float requirements for NGX Main Board listing. However, completing its business restructuring and fulfilling post-listing obligations remains essential. The company was approved for placement on the watchlist on November 1, 2024, for a two-year period. If restructuring remains incomplete by the deadline, NGX RegCo said the matter would be presented to its appropriate committee and board for further deliberation. The November deadline does not automatically trigger compulsory delisting, but failure to act could prompt a review that leads to further action.
Union Dicon's regulatory position has improved since March, when the company disclosed difficulties contacting Aims Limited, its 40 percent shareholder. The company has since taken operational steps to revive its business. New management commissioned salt and pepper production facilities after securing approvals from the National Agency for Food and Drug Administration and Control (NAFDAC), and has begun packaging operations for Dicon Salt and Dicon Hot Pepper. These operational developments offer a potential pathway towards rebuilding the business, though regulatory compliance remains central to maintaining its listing.
The October 23, 2026 X-Compliance Report identifies the four companies on the Delisting Watchlist and identifies five others undergoing restructuring, bringing the total number of companies under regulatory monitoring to nine. Critical Minerals Financing Corp was approved for watchlist placement subject to filing its Quarterly Compliance Report. Multi-Trex Integrated Foods was placed on the list for a two-year period following NGX RegCo approval. Fortis Global Insurance received approval for a three-year monitoring period on February 14, 2025, the longest stated period among the four. Companies undergoing restructuring include FTN Cocoa Processors Plc, Thomas Wyatt Nigeria Plc, Austin Laz and Company Plc, Pharma-Deko Plc and Premier Paints Plc. NGX said any changes to a company's listing status would be communicated through its website and subsequent X-Compliance Reports.
For investors and savers, the regulatory action reflects stricter monitoring of listed companies' compliance obligations, potentially affecting the stability and credibility of investments on the exchange.
