ABC Transport plans N6.5bn fundraise via rights issue and bonds

The transport operator's board has approved a dual financing plan subject to shareholder approval at its next annual meeting.

ABC Transport Plc is seeking to raise N6.5 billion through a combination of a rights issue and bond issuance, pending approval from shareholders at its forthcoming Annual General Meeting. The company's board approved the proposed fundraising on October 17, 2026, to support its financial and operational requirements. ABC Transport disclosed the plan in a notice to the Nigerian Exchange Limited and the investing public, signed by company secretary Onwe C. Chigbo.

A rights issue allows a listed company to raise equity by offering additional shares to existing shareholders, typically in proportion to their current holdings. Bond issuance, by contrast, enables a company to borrow from investors and repay the principal plus agreed interest under specified terms. The combination of these two financing methods would give ABC Transport access to funding through different channels, though the final impact on its capital structure will depend on the transaction's eventual terms.

ABC Transport did not disclose how the N6.5 billion would be split between the two instruments, nor did it provide details of the proposed bond's terms or specify how the proceeds would be deployed. The company said further details on the fundraising, including the allocation between equity and debt, are expected once shareholders grant approval. The board's decision requires shareholders' endorsement at the company's next AGM before it becomes final.

Separately, ABC Transport announced that its closed period, which restricts directors and insiders from trading in the company's securities, remains in force. The restriction will end 24 hours after the company publishes its unaudited financial statements for the third quarter ended September 30, 2026, to the Exchange and the public. The notice was issued from the company's Owerri headquarters in Imo State on October 21, 2026.

For investors, the fundraise offers access to a transport operator seeking to strengthen its capital base, though the lack of details on how funds will be used leaves important questions unanswered until the AGM takes place.
